Betsson Cancels Acquisition Plans in the Netherlands

Betsson AB has officially withdrawn from its planned acquisition of Holland Gaming Technology Ltd and Holland Power Gaming B.V. The decision follows the lack of regulatory approval from the Dutch gambling authority before the agreed deadline. The move will not significantly impact Betsson’s financial results.

Acquisition Agreement Terminated

On June 2, 2025, Betsson announced that it had terminated its agreement to acquire the Dutch companies Holland Gaming Technology Ltd and Holland Power Gaming B.V. The deal, originally disclosed on February 19, 2024, was subject to approval from the Kansspelautoriteit (KSA), the Dutch gambling authority. Since the regulator failed to issue a decision before the agreed closing date, Betsson decided not to proceed.

According to Betsson, the transaction will be reversed. The companies in question will be returned to their original owners, and the purchase price—minus a previously agreed “break fee”—will be refunded. In total, €26.7 million is set to be returned to Betsson as part of the settlement.

The company emphasized that unwinding the transaction will not have a material effect on its consolidated income statement. This clarification helps to reassure investors and stakeholders that Betsson’s financial performance remains stable despite the cancelled deal.

Regulatory Delay Prompted the Decision

The requirement for regulatory approval was clearly stated in the initial announcement. The absence of a timely decision from the KSA was the decisive factor. Betsson stated the termination allows the company to “pursue other business opportunities.”

Betsson AB noted that this disclosure was made in accordance with the EU Market Abuse Regulation. The announcement was made public at 12:00 CEST on June 2, 2025, through the designated contact persons listed in the press release.
