Codere Online Announces Successful AGM and New Board Member Appointment

Codere Online, a prominent online gaming operator in Spain and Latin America, has announced the positive outcome of its Annual General Meeting (AGM) held at the Company’s registered office. All 20 agenda items were favorably resolved, including the appointment of Michal Elimelech as a new member of the Board of Directors.

Michal Elimelech will replace Oscar Iglesias as one of the four directors nominated by Codere Newco S.A. The Board expresses its gratitude to Iglesias for his valuable contributions and dedication during his tenure as a Board member and looks forward to continuing to work with him in his current executive role as CFO of Codere Online.

Patrick Ramsey, Chairman of the Board of Directors, stated “The approval of all AGM resolutions by shareholders underscores their confidence in Codere Online’s strategic direction and future prospects. As a seasoned executive with over 15 years of experience in the gaming industry, Michal Elimelech brings a wealth of expertise to the Board. Her impressive track record at 888 Holdings includes key VP positions, such as Head of US Marketing, Head of Bingo, and Head of Developed Markets EMEA, with full P&L responsibility across Europe, including Germany, the UK, and Scandinavian markets. Most recently, she served as COO of Passiflora and CMO of Space Ape Games.

Crucial role

During her time at 888 Holdings, Michal played a crucial role in the company’s successful expansion into the highly regulated US market, navigating complex environments, driving customer acquisition through multiple channels, and leading comprehensive customer conversion and retention activities through a dedicated CRM team.

Patrick Ramsey expressed enthusiasm about having Michal join the Board, highlighting her experience in digital marketing and expanding businesses into new markets as a perfect fit for Codere Online’s growth plans in Spain and Latin America.

Additionally, during the Board of Directors meeting preceding the AGM, several changes were approved:

Borja Fernández was appointed Chairman of the Audit Committee, replacing Dr. Martin M. Werner, who will remain a member of the committee.

The Compliance Committee was established as a formal Board committee, with the following composition:
