Aristocrat Set to Seal $1.2 Billion NeoGames Acquisition

Aristocrat Leisure Limited has announced that it has received all necessary regulatory pre-approvals for its significant acquisition of NeoGames, a provider of iLottery and iGaming solutions. This deal, initially publicized in May of the previous year, values NeoGames at approximately $1.2 billion, representing a 104 percent premium over its share price at the time of the offer.

In a statement released on Friday, Aristocrat confirmed that all antitrust and foreign investment regulatory clearances have been successfully obtained. This progress is a critical step towards the finalization of the acquisition. The only remaining hurdle now is the approval from NeoGames shareholders, with a decisive vote scheduled for April 26th.

Final Steps Toward Acquisition Completion

Post-shareholder approval, Aristocrat expects the acquisition process to be completed around April 26, 2024. This transaction will result in NeoGames transitioning its office from Luxembourg to the Cayman Islands and becoming a privately-held company under Aristocrat, thereby delisting from all public markets.

John Taylor, Chairman of the Board of Directors at NeoGames, expressed his satisfaction with the deal, stating, “Aristocrat’s proposal provides shareholders with compelling value, further validating the strength of the business that NeoGames has built.”
